01Agreement to Terms
These Terms & Conditions ("Terms") form a binding agreement between you ("you" or "User") and Celebrity Pair LLC, a Wyoming limited liability company ("we," "us," "our," or "Celebrity Pair"). By accessing or using celebritypair.com (the "Site") or any of our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site or Services.
02Eligibility
You must be at least 18 years old and legally able to enter into a binding contract to use our Services. If you are using the Services on behalf of a company or other entity, you represent that you have the authority to bind that entity to these Terms.
03Description of Services
Celebrity Pair LLC provides digital marketing services including affiliate marketing, media buying, social media marketing, search engine optimization, ecommerce management, lead generation, app install campaigns, and digital consulting (collectively, the "Services").
The specific scope, deliverables, fees, and payment terms for engagements will be set out in a separate written agreement, insertion order, or campaign brief. In the event of a conflict between these Terms and a signed agreement, the signed agreement controls.
04Accounts
Account creation
Some Services require you to create an account. You agree to provide accurate, current, and complete information during registration and to keep it up to date.
Account security
You are responsible for safeguarding your credentials and all activity under your account. Notify us at [email protected] immediately if you suspect unauthorized use.
One account per entity
You may not maintain more than one account per individual or entity without our prior written consent. We may suspend or close duplicate accounts at our discretion.
05Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree to:
- Comply with all applicable laws, regulations, and industry guidelines
- Provide accurate information in all interactions with the Services
- Use only legitimate traffic sources and creative assets you have the right to use
- Honor the targeting, frequency, and geographic restrictions of any campaign
- Cooperate with reasonable requests for documentation or fraud investigations
06Prohibited Conduct
You will not, and will not allow any third party to:
- Generate fraudulent, incentivized, bot, or non-genuine traffic, clicks, leads, installs, or conversions
- Use misleading, deceptive, or fraudulent advertising practices
- Misrepresent yourself, your business, or your traffic sources
- Promote illegal, infringing, defamatory, obscene, hateful, or violent content
- Distribute malware, spyware, adware, or any malicious code
- Attempt to interfere with, reverse-engineer, or circumvent the Services
- Resell, sublicense, or transfer access without our written consent
- Send unsolicited commercial communications in violation of applicable law
We may withhold payouts associated with fraudulent activity and suspend or terminate accounts in connection with violations.
07Payment Terms
Advertisers
Advertisers agree to pay all fees set out in the applicable insertion order or campaign brief. Unless otherwise agreed, invoices are payable within 30 days. Late payments may accrue interest at 1.5% per month or the maximum rate permitted by law.
Publishers
Publishers will be paid only for valid, verified, non-fraudulent activity. We reserve the right to withhold or reverse amounts associated with invalid, fraudulent, or non-compliant traffic.
Taxes
All amounts are exclusive of applicable taxes, which are your responsibility unless otherwise required by law.
08Intellectual Property
Our content
The Site, Services, and all related content are owned by Celebrity Pair LLC or our licensors and are protected by copyright, trademark, and other laws. Except as expressly granted, we do not grant you any rights in our intellectual property.
Your content
You retain ownership of content and materials you provide. You grant Celebrity Pair a non-exclusive, worldwide, royalty-free license to host, copy, transmit, and display your content as necessary to provide the Services.
09Third-Party Content
The Services may contain links to third-party websites or services. We are not responsible for their content, policies, or practices. Your use of any third-party service is at your own risk.
10Disclaimers
We do not warrant that the Services will be uninterrupted or error-free, and we make no guarantee regarding the volume, quality, or outcome of any marketing campaign.
11Limitation of Liability
Celebrity Pair LLC's aggregate liability will not exceed the greater of (a) amounts paid by you to Celebrity Pair in the twelve months preceding the event, or (b) one hundred US dollars (USD 100).
12Indemnification
You agree to defend, indemnify, and hold harmless Celebrity Pair LLC and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses arising out of or related to:
- Your use of the Services or violation of these Terms
- Your content or your traffic sources
- Your violation of any law or third party's rights
- Any fraudulent or non-compliant activity attributable to your account
13Termination
We may suspend or terminate your access at any time, with or without notice, for any reason including violation of these Terms. Upon termination, your right to use the Services ends immediately. Sections covering Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution survive termination.
14Governing Law
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws principles. The state and federal courts in Sheridan County, Wyoming have exclusive jurisdiction over any dispute not subject to arbitration.
15Dispute Resolution
Before filing any claim, parties agree to attempt informal resolution for at least 60 days by sending written notice to [email protected].
Unresolved disputes will be settled through binding individual arbitration in Sheridan County, Wyoming. The parties waive any right to a jury trial and to participate in a class action.
16Changes to Terms
We may revise these Terms at any time. Material changes will be communicated through the Site or by email. Your continued use after changes take effect means you accept the revised Terms.
17Miscellaneous
These Terms constitute the entire agreement between you and Celebrity Pair LLC regarding the Services. If any provision is held unenforceable, the remaining provisions remain in effect. You may not assign these Terms without our prior written consent.
